1. Acceptance of terms
By accessing or using shadeupleads.com (the "Site") or any ShadeUp Leads service, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Site. These Terms apply to all visitors, homeowners submitting quote requests, and contractors subscribing to the ShadeUp Lead Program.
2. Description of service
ShadeUp Leads provides a lead generation and marketing platform that connects homeowners seeking awning, motorized screen, and outdoor shade structure installation with local contractors. For homeowners, this includes submitting project quote requests at no charge. For contractors, ShadeUp offers a subscription-based program that includes an SEO-optimized web presence, lead delivery, AI lead nurture, and analytics.
3. Homeowner terms
By submitting a quote request, you authorize ShadeUp to share your contact information and project details with the single contractor we match you with in your area. You acknowledge that ShadeUp is a lead generation service, not a contractor, and does not perform any installation work. ShadeUp does not guarantee any specific quote amount, timeline, or outcome for your project.
4. Contractor subscription terms
Contractor subscriptions are billed at the rate specified on the Pricing page at the time of signup. Subscriptions are month-to-month unless otherwise agreed in writing. You may cancel at any time; cancellation takes effect at the end of the current billing period. No refunds are issued for partial months. ShadeUp reserves the right to modify pricing with 30 days' written notice. ShadeUp grants you a non-exclusive, non-transferable license to use your ShadeUp-hosted marketing page during your active subscription.
5. Acceptable use
You agree not to use the Site or service to transmit spam, harass users, scrape data, reverse-engineer the platform, or engage in any activity that violates applicable law. Contractors may not use ShadeUp leads for any purpose other than directly servicing the homeowner's project inquiry. ShadeUp reserves the right to suspend or terminate accounts for violations of these Terms.
6. Intellectual property
All content on the Site — including text, pricing data, design, logos, and code — is owned by ShadeUp Leads or its licensors and is protected by copyright and other intellectual property laws. You may not reproduce, distribute, or create derivative works from Site content without express written permission.
7. Disclaimer of warranties
The Site and services are provided "as is" without warranties of any kind, express or implied. ShadeUp does not warrant that the service will be uninterrupted, error-free, or free of viruses. ShadeUp does not warrant the accuracy of contractor listings, pricing data, or lead quality. Your use of the service is at your sole risk.
8. Limitation of liability
To the maximum extent permitted by law, ShadeUp Leads shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site or service. Our total liability to you for any claim shall not exceed the amount you paid to ShadeUp in the 12 months preceding the claim, or $200, whichever is greater.
9. Governing law
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Texas, and you consent to personal jurisdiction in those courts.
10. Changes to these terms
We may update these Terms at any time. The "Last updated" date at the top of this page reflects the most recent revision. Continued use of the service after changes are posted constitutes your acceptance of the revised Terms.
